Unless otherwise specified in a service agreement, all deliverables, work products, and intellectual property created by Sweet Spring in the course of providing services shall be owned by the client upon full payment, subject to Sweet Spring retaining the right to use general knowledge, skills, and experience gained.
Payment terms for services will be specified in the applicable service agreement or statement of work. Unless otherwise agreed, invoices are due within thirty days of the invoice date. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for accounts with overdue balances. All fees are exclusive of applicable taxes, which are the responsibility of the client.
Both parties acknowledge that in the course of the business relationship, they may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law. This obligation shall survive the termination of any service agreement and continue for a period of three years thereafter.
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. However, except as expressly provided in a service agreement, our services and website are provided on an as-is and as-available basis. We make no warranties, expressed or implied, regarding the accuracy, reliability, or completeness of any content or services. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
To the maximum extent permitted by applicable law, Sweet Spring shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of or inability to access or use our services. Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to Sweet Spring in the twelve months preceding the claim.
You agree to indemnify, defend, and hold harmless Sweet Spring and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.
These Terms remain in effect while you use our website or services. We reserve the right to suspend or terminate your access to our website or services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Service agreements may be terminated in accordance with their specific terms. These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. If negotiations fail, disputes shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its rules, with the place of arbitration being Hefei, Anhui Province, China.
